Terms of Use
1. Acceptance of These Terms
These Terms of Use ("Terms") govern access to and use of ReadyToSell.ca, including the website, online forms, telephone, email and text communications, property purchase inquiries and related services (collectively, the "Services").
By accessing the website, submitting information, requesting a potential offer, communicating with ReadyToSell.ca or otherwise using the Services, you acknowledge these Terms.
If you subsequently enter into a written agreement concerning a property or transaction, that agreement may establish separate and legally binding rights and obligations.
2. ReadyToSell.ca's Role
ReadyToSell.ca Is a Prospective Property Buyer
The primary purpose of ReadyToSell.ca is to identify properties that we or a purchasing party associated with a proposed transaction may be interested in purchasing as a principal.
ReadyToSell.ca is not presented through this website as a real estate brokerage, Realtor®, real estate salesperson, real estate broker, appraiser, or representative of the property owner.
Unless expressly established through a separate lawful written relationship, ReadyToSell.ca is not acting as your real estate agent, representative, fiduciary or adviser and is not acting on behalf of a Realtor or brokerage in providing the ReadyToSell.ca property-purchase service.
When ReadyToSell.ca discusses purchasing a property, its interests as a prospective buyer may be different from the interests of the property owner as seller. Property owners should make their own decisions regarding whether a proposed transaction is appropriate for them and may obtain independent professional advice before entering into a binding agreement.
3. Property Purchase Inquiries
Property owners may provide information to ReadyToSell.ca so that we can determine whether a property may fit our purchasing criteria.
ReadyToSell.ca may consider properties in various conditions, including properties requiring repairs, renovations or updating. A property owner is not required to renovate a property merely to submit it for consideration.
Submitting property information does not guarantee that ReadyToSell.ca or another purchasing party will make an offer or purchase the property.
4. No Property Appraisal, CMA or Brokerage Service
ReadyToSell.ca does not provide a formal appraisal, comparative market analysis, brokerage opinion of value, listing service or other real estate brokerage service through the ReadyToSell.ca property-purchase process.
Any amount ReadyToSell.ca or another prospective purchaser may be prepared to offer for a property represents a proposed purchase price from a prospective buyer. It should not be interpreted as an independent appraisal, opinion of fair market value or representation of the maximum amount that the property could obtain if exposed to the open market.
Property owners who want advice concerning market value, listing strategy, MLS® exposure or other real estate brokerage services should consult an appropriately licensed real estate professional of their choosing.
5. No Agency or Representation Relationship
A property owner's use of ReadyToSell.ca, submission of a form, telephone call, email, text message or discussion regarding a potential purchase does not create an agency, brokerage, representation, fiduciary, advisory or professional-client relationship between the property owner and ReadyToSell.ca.
ReadyToSell.ca does not undertake to negotiate on behalf of the property owner, market the property on the owner's behalf, list the property, represent the owner in dealings with third parties, or provide the owner with regulated real estate brokerage services.
6. Referrals to Independent Licensed Real Estate Professionals
A direct sale to ReadyToSell.ca may not be the preferred option for every property owner. If you indicate that you are interested in exploring a traditional or open-market sale, ReadyToSell.ca may, with appropriate consent, introduce or refer you to an independent licensed real estate professional.
A referral or introduction does not mean that ReadyToSell.ca is providing real estate brokerage services or acting as the real estate professional's brokerage, salesperson, representative, employee or agent.
The licensed real estate professional is responsible for their own services, advice, representations, regulatory obligations and conduct.
If you choose to engage a referred real estate professional, any representation agreement, listing agreement, services, market analysis, pricing advice, marketing, negotiations or other brokerage services are provided through the licensed professional and/or their brokerage under a separate relationship and separate agreement with you.
You are not required to use a real estate professional referred by ReadyToSell.ca. You remain free to select your own real estate professional or obtain independent legal, financial or other professional advice.
Where permitted by applicable law, ReadyToSell.ca may have a business or referral relationship associated with an introduction. Where disclosure of such a relationship is legally required in the circumstances, it should be disclosed as required by applicable law and/or by the licensed professional involved.
7. Cash Offers and Proposed Purchase Prices
References to a "cash offer," "offer," "direct purchase," "as-is purchase," "quick closing" or similar language describe potential transaction structures only.
No offer is guaranteed. ReadyToSell.ca may decline to pursue a property after reviewing the information provided or after further due diligence.
Any proposed purchase price may take into account factors relevant to the prospective purchaser, including property condition, renovation requirements, carrying costs, transaction costs, risk, financing, market conditions and the purchaser's own investment criteria.
A proposed purchase price is not a representation that the amount equals the property's fair market value.
8. No Obligation to Sell
Submitting a property, speaking with ReadyToSell.ca or requesting a potential cash offer does not by itself obligate the property owner to sell.
A binding obligation to purchase or sell property arises only when the relevant parties execute an applicable legally binding written agreement, subject to its terms and applicable law.
9. Property Information
When submitting information regarding a property, you represent that you are authorized to provide the information and that, to the best of your knowledge, information you provide is accurate and not intentionally false or misleading.
ReadyToSell.ca and parties involved in evaluating a potential purchase may seek to verify information relevant to the proposed transaction, subject to applicable law and any required authorization.
This may include information concerning the property, ownership, title, occupancy, tenancy, condition, zoning, permits, liens, financing, taxes or other matters relevant to a potential purchase.
10. Agreements of Purchase and Sale & Transaction Documents
Important: Website content and these Terms do not replace the written agreement governing an actual property transaction.
If a property owner and purchaser enter into an Agreement of Purchase and Sale or other transaction document, the rights and obligations of the parties are governed by that document and applicable law.
A transaction agreement may contain provisions concerning matters such as:
- purchase price;
- deposit;
- conditions and due diligence;
- property access and inspections;
- representations and warranties;
- fixtures and chattels;
- title;
- occupancy and tenancy;
- closing date;
- adjustments;
- assignment rights or restrictions;
- defaults and remedies;
- legal costs;
- tax matters; and
- other negotiated transaction terms.
Where a transaction-specific written agreement conflicts with these website Terms concerning the transaction itself, the transaction-specific agreement governs to the extent of the conflict, subject to applicable law.
11. Assignments and Other Transaction Structures
Depending on a particular transaction and the governing written agreements, a purchaser's contractual interest may in some circumstances be assigned or otherwise dealt with where permitted by the applicable agreement and law.
If any transaction involving ReadyToSell.ca includes assignment rights, assignment restrictions, nomination rights, direction of title, a subsequent purchaser or another transaction structure, the rights and obligations of the parties are governed by the specific executed transaction documents and applicable law.
Nothing on this website guarantees that a particular agreement is assignable or that any third-party consent required for an assignment will be granted.
12. Independent Advice
ReadyToSell.ca encourages property owners to obtain independent legal advice before signing a binding Agreement of Purchase and Sale or other significant transaction document.
Depending on the circumstances, property owners may also wish to obtain independent real estate, appraisal, tax, accounting, financial, mortgage, engineering or other professional advice.
ReadyToSell.ca does not provide legal, tax, accounting, financial, mortgage, appraisal or engineering advice.
13. Electronic Communications & Signatures
Where permitted by law, communications and transaction processes may occur electronically, including through email, SMS, electronic forms, electronic documents and electronic signatures.
The legal effect of any electronic signature or document depends on the particular document, circumstances and applicable law.
14. Third-Party Services
ReadyToSell.ca may use or interact with third-party service providers, including technology providers, lawyers, contractors, property service providers, licensed real estate professionals and other parties involved in facilitating a requested service or potential transaction.
Independent third parties are responsible for their own services, advice, representations, professional obligations and privacy practices.
15. Website Information
Information appearing on ReadyToSell.ca is provided for general informational and marketing purposes and may change without notice.
ReadyToSell.ca does not warrant that all website information will always be complete, current or error-free.
16. Intellectual Property
The ReadyToSell.ca name, branding, website design, written content, graphics and original website materials are owned by or licensed to ReadyToSell.ca and may not be commercially reproduced or exploited without authorization except as permitted by law.
17. Prohibited Use
You may not use ReadyToSell.ca to:
- engage in fraudulent or unlawful conduct;
- impersonate a property owner or other individual;
- provide information you are not authorized to provide;
- knowingly submit materially false or misleading information;
- interfere with website operation or security;
- introduce malicious software;
- systematically scrape website content without authorization; or
- otherwise violate applicable law.
18. Limitation of Liability
To the maximum extent permitted by applicable law, ReadyToSell.ca and its owners, affiliates, representatives, contractors and service providers will not be liable for indirect, incidental, special, consequential or punitive damages arising solely from access to or use of the website.
Nothing in these Terms excludes liability or legal rights that cannot lawfully be excluded or limited.
Rights and obligations arising under an executed property transaction are governed by the applicable transaction documents and law rather than this website limitation.
19. Governing Law
These website Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada, without limiting mandatory rights or protections that apply under applicable law.
20. Changes to These Terms
ReadyToSell.ca may update these website Terms from time to time. The current version will be posted on this page together with the last-updated date.
Changes to website Terms do not automatically modify a separately executed property transaction agreement.
